END USER LICENSE AGREEMENT

Effective Date: October 18, 2026

What changed in this version: the Software can now send laser content to Pangolin's BEYOND software. Section 1.1 reserves that output to paid licenses, as it already did for the Software's other laser outputs, and Sections 3, 5, 5A and 6A.2 now name BEYOND and Pangolin's BEYOND SDK library. Nothing else has changed since the previous version, effective October 13, 2026, which is archived at ood-labs.com/legal/eula-2026-10-13/.

The October 13, 2026 version let you use the Spout, NDI and display outputs during evaluation, up to a combined 921,600 pixels (the size of a 1280 by 720 image). Before, they were reserved to paid licenses. The version before it, effective October 4, 2026, is archived at ood-labs.com/legal/eula-2026-10-04/.

The October 4, 2026 version added a new Section 6A, which sets out what you must do if you use the Software with lasers, stage lighting or other physical equipment, and new Sections 5A (third-party hardware, protocols and trademarks) and 10A (consumers), and it updated Sections 1.1, 2, 3, 5, 6.1, 6.3, 6.6, 6.8, 8, 9, 10, 11, 15, 16, 17, 18 and 21. Among other things, Section 10 now applies only to business users and also covers their operation of physical equipment. The text of Sections 12 and 13 is unchanged, but Section 10A limits how they apply to consumers in some countries. The version before it, effective August 18, 2026, is archived at ood-labs.com/legal/eula-2026-08-18/. If you obtained the Software before this version took effect, this version applies to you once you accept it, for example when installing a later version (Section 16).

IMPORTANT: IF YOU USE THE SOFTWARE TO CONTROL LASERS, STAGE LIGHTING OR OTHER PHYSICAL EQUIPMENT, READ SECTION 6A BEFORE YOU DO. THE SOFTWARE IS NOT A SAFETY SYSTEM. SECTION 9.1 LISTS THE LIABILITY WE NEVER EXCLUDE OR LIMIT, AND SECTION 10A SETS OUT YOUR RIGHTS IF YOU ARE A CONSUMER.

This End User License Agreement ("Agreement") is a legal agreement between you and Out of Distribution Labs LLC ("OOD Labs," "we," "us," or "our") for the use of the Sentinel desktop application software and any associated documentation, updates, and patches (collectively, the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement, and (for a paid license) valid activation via a license key, OOD Labs grants you a limited, non-exclusive, non-transferable license to use the Software as described below. Non-transferable means you may not transfer, sell, or assign your license to another person or entity. You may transfer the Software between your own machines as described in the License Activation section. You may:

  1. Install and use the Software on the number of computers permitted by your license, owned or controlled by you, as described in the License Activation section. A standard license permits up to two (2) machines; licenses with additional machine allowances may be offered, in which case the allowance stated at the time of purchase applies.
  2. Make one backup copy of the Software for archival purposes, provided the backup copy is not installed or used on any computer.

1.1 Evaluation License

The Software is also made available without a license key for evaluation. If you have not purchased a license, OOD Labs grants you a limited, non-exclusive, non-transferable license to install and use the Software on computers owned or controlled by you, for the purpose of evaluating it, for as long as it is made available to you and you comply with this Agreement. The evaluation license carries no time limit. Certain features are reserved to paid licenses. Currently these are: Spout, NDI and display output beyond a combined 921,600 pixels, the size of a 1280 by 720 image, across all of those outputs running at once (display output shows your output full screen on a monitor or projector); DMX output beyond one universe, and DMX input beyond four universes, across a project; and laser output through the Software's laser interfaces (Ether Dream, LaserCube and ShowNET) or to Pangolin's BEYOND software. During evaluation, when the Spout, NDI and display outputs running at once together exceed that size, they are all scaled down by the same factor until they fit within it, each keeping its proportions, and a display output that is scaled down is then stretched to fill its screen. During evaluation, a laser output set to drive one of those interfaces records its point data to a file on your computer instead and sends no point data to the device, although the Software still looks for laser interfaces on your network; Simulate mode works as normal. During evaluation, a BEYOND output sends no point data to BEYOND. Lasers and other equipment controlled over DMX, Art-Net or sACN are not blocked during evaluation and can be driven within the free DMX universe. Also during evaluation, still captures, recordings and rendered image sequences of node outputs and inputs that are larger than 1920 by 1080 pixels (or 1080 by 1920 in portrait) are scaled down to fit within that size, keeping their proportions; recordings of the Software's own window are not scaled down. Which features are reserved may change between releases.

Every other term of this Agreement applies to evaluation use, including the restrictions in Section 3, the safety requirements in Section 6A, the disclaimers in Section 8 and the limitations in Section 9. OOD Labs may withdraw or modify the evaluation license at any time, which does not affect any purchased license you hold.

1.2 Update Period

Your purchase includes twelve (12) months of software updates and support from the date of purchase (the "Update Period"). During the Update Period, you are entitled to download and use all versions of the Software released before the Update Period ends.

When the Update Period ends, your license does not stop working: you retain a perpetual right to continue using any version of the Software released before the end of your Update Period, on the terms of this Agreement, with no further payment required. Versions of the Software released after the end of your Update Period require a renewal or new purchase to use. The Software determines eligibility by comparing its release date against your license's Update Period.

Minimum system requirements are published at ood-labs.com/sentinel and on the product page. You are responsible for ensuring your system meets these requirements before purchase.

2. License Activation

The Software requires activation via a license key provided at the time of purchase. License keys are managed through our licensing service (powered by Keygen.sh). An internet connection is required to activate a license and to deactivate a machine. Once a license is activated, the current version of the Software checks it against a signed license file stored on your computer, without connecting to the internet (if your activation was saved by an older version, the Software may first update it online once); future versions may also verify it online from time to time. Each license key permits activation on a set number of machines at a time — two (2) for a standard license, or the higher allowance stated at the time of purchase if your license includes additional machines. You may deactivate a machine from within the Software to free a slot for activation on a different machine. If you are unable to deactivate a machine (for example, due to hardware failure), contact us at [email protected] for assistance with deactivation and reactivation.

3. Restrictions

Except to the extent that applicable law expressly permits it notwithstanding this limitation, you may not:

  1. Copy, modify, or distribute the Software except as expressly permitted in this Agreement.
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software or of any proprietary third-party library or software development kit included in it (such as the Laserworld ShowNET library and Pangolin's BEYOND SDK library).
  3. Sublicense, rent, lease, lend, sell, or otherwise transfer the Software or your license key to any third party.
  4. Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.
  5. Use the Software to develop a competing product or service.
  6. Share, publish, or otherwise make your license key available to others.
  7. Circumvent or attempt to circumvent any license verification, copy protection, or other technological measures in the Software.
  8. Extract, or knowingly disclose or use, any key, credential, registration code, or other access code that OOD Labs or its suppliers have embedded in the Software or its components (this does not include the license key issued to you), other than through the normal operation of the Software.
  9. Use or redistribute any third-party component included in the Software separately from the Software, unless that component's own license permits it (see the THIRD-PARTY-LICENSES file).

Nothing in this Section 3 limits what the license of an open-source component allows (see Section 5). The Sentinel workspace installed with the Software, including its example projects, scripts, Modules, knowledge files and agent instructions, is licensed to you under the MIT License in the workspace's LICENSE file, except for files that carry a different license, such as fonts, which are governed by their own licenses. Sections 3, 11 and 14 do not restrict what those licenses allow, and you do not have to delete your own projects, or files you have built from workspace files, when this Agreement ends.

4. Intellectual Property

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. OOD Labs and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights therein. This Agreement does not grant you any rights to OOD Labs trademarks or service marks.

5. Third-Party Components

The Software includes open-source libraries and other third-party components, each of which is subject to its own license terms. The THIRD-PARTY-LICENSES file installed with the Software lists those components together with their licenses and required notices. If a component's license or notice is missing from that file, the component's own license still applies, and we will send you a copy on request at [email protected]. Nothing in this Agreement limits your rights under, or grants you rights that supersede, the license terms of any applicable open-source component.

Some components are proprietary to their suppliers; for example, the ShowNET library is proprietary to Laserworld AG, and the BEYOND SDK library is proprietary to Pangolin Laser Systems, Inc. Unless a component's own license says otherwise, those components are licensed to you only as part of the Software and only for use with it. Subject to Section 9.1, their suppliers give you no warranty and accept no liability to you in connection with them.

Third-party components distributed with the Software are part of the Software for the purposes of Sections 8, 9 and 10A. Subject to Section 9.1, OOD Labs makes no warranties or representations about third-party software, models or components that you obtain yourself and use with the Software, and is not responsible for them.

5A. Third-Party Hardware, Protocols and Trademarks

The Software can exchange data with hardware, software, protocols and file formats made or defined by others, including Art-Net, sACN (ANSI E1.31), NDI, Spout, MIDI, OSC, Ether Dream, LaserCube, Laserworld ShowNET, Pangolin BEYOND, Ableton Push 2 and Push 3, the ILDA image data transfer format, and the GDTF and MVR formats. These names belong to their respective owners, and many are trademarks: for example, Ableton and Push are trademarks of Ableton AG, and NDI® is a registered trademark of Vizrt NDI AB (ndi.video). In this Agreement they are used only to identify what the Software works with or contains. That use does not mean their owners sponsor, endorse or certify the Software, and they do not provide support for it to you. Listing a product or protocol here does not mean that it is lawfully supplied, correctly classified or suitable for your use.

Subject to Sections 9.1 and 10A, compatibility depends on third-party hardware, firmware and services outside OOD Labs' control and may change or stop without notice, and OOD Labs does not warrant that the Software will work with any particular third-party product or firmware version. Fixture files, media and other content you import, such as GDTF files, are subject to their own terms, which you are responsible for following.

Art-Net™ Designed by and Copyright Artistic Licence Engineering Ltd.

6. AI Models, Acceptable Use, and Regulatory Compliance

6.1 Bundled Models

The Software is distributed with a number of third-party AI models, supplied as compiled TensorRT engines. Each is subject to its own license. The THIRD-PARTY-LICENSES file that ships with the Software lists them together with their licenses. If a model or its license is missing from that file, the model's own license still applies, and we will send you a copy on request at [email protected]. Your use of those models is governed by their licenses as well as this Agreement, and where a model license grants you fewer rights than this Agreement appears to, the model license controls. You may also connect the Software to models you obtain yourself, in which case obtaining and complying with their license terms is your responsibility.

6.2 Stability AI Community License

SDXL-Turbo is licensed under the Stability AI Community License Agreement, a complete copy of which is supplied with the Software in the THIRD-PARTY-LICENSES file. This Stability AI Model is licensed under the Stability AI Community License, Copyright © Stability AI Ltd. All Rights Reserved. Powered by Stability AI. Your use of that model is additionally subject to the Stability AI Acceptable Use Policy at stability.ai/use-policy, which is incorporated into this Agreement by reference and which you agree to observe.

6.3 Ownership of Outputs

As between you and OOD Labs, you retain whatever rights you have in the outputs you generate, and OOD Labs claims none. Whether a given output attracts copyright protection at all is a question of law that this Agreement does not purport to answer. Code that the Software or a connected agent writes into your project is likewise yours, subject to the licenses of anything it incorporates. You are responsible for the legality and appropriateness of all inputs you provide and outputs you generate, and for ensuring your use of AI-generated content complies with applicable law, including intellectual property law. Subject to Section 9.1, OOD Labs makes no representations or warranties regarding the outputs of any AI model and is not responsible for content generated through them.

6.4 Acceptable Use

You are solely responsible for all prompts, inputs, live video feeds and parameters you supply ("Inputs"), and for all images, video streams and other media produced ("Outputs"). You must not use the Software, the bundled models, or the Outputs to generate, display, broadcast, stream, or distribute:

  1. Child sexual abuse material, or any visual depiction of a minor in sexually explicit or sexually suggestive conduct.
  2. Non-consensual intimate imagery, or synthetic sexually explicit media depicting a real, identifiable person without that person's express consent.
  3. Content that impersonates a real person or organisation in order to deceive, defraud, or defame, including synthetic media presented as an authentic record of something that did not occur.
  4. Content that incites or threatens violence or terrorism, or that harasses or endangers any individual or group.
  5. Material intended to develop or improve weapons, including autonomous weapons systems and chemical, biological, radiological or nuclear weapons.
  6. Datasets, biometric templates or databases for facial recognition harvesting, untargeted scraping of facial images, or mass surveillance.
  7. Malware, or content intended to carry out unauthorised access to or disruption of any system or infrastructure.

6.5 Competing Models

You must not use the Software, the bundled models, or the Outputs to train, fine-tune, or otherwise create or improve a foundational generative AI model that competes with the models supplied under the Stability AI Community License.

6.6 Local Execution and Absence of Monitoring

The Software runs locally on your hardware and, once any license is activated and the engine packs you use are installed, can run entirely offline. Apart from anything included in a bug report sent to us (see Section 15), OOD Labs does not host, intercept, log, view, moderate or filter your Inputs or Outputs, and the Software gives OOD Labs no technical means of doing so. Nothing in this Section 6 constitutes a promise or an undertaking by OOD Labs to monitor your use of the Software, and no duty to monitor arises from it.

6.7 Termination for Breach of This Section

A breach of Section 6.4 or Section 6.5 is a material breach of this Agreement. On such a breach your license terminates immediately, and OOD Labs may deactivate your license key, decline further activations, and withdraw support, without refund.

6.8 Regulatory Roles and the EU AI Act

OOD Labs provides the Software as a general-purpose creation tool and acts as a provider of an AI system under Regulation (EU) 2024/1689 (the "EU AI Act"). Where the EU AI Act applies to your use and you are not using the Software in the course of a personal non-professional activity, you act as the deployer of that AI system under Article 3(4) when you configure the Software, supply input video, run node graphs, generate imagery, or publicly exhibit output, and, where the GDPR applies and personal data is involved, you act as a controller under the GDPR.

Public exhibition and deepfake transparency. If you use the Software to generate or manipulate image, audio or video content that resembles real persons, objects, places or events and could falsely appear authentic, you are required by applicable law to disclose that the content is artificially generated or manipulated. Where your output forms part of an evidently artistic, creative, satirical or fictional work, that disclosure may be made in a manner appropriate to the performance, such as venue signage, program notes or exhibition credits, and need not interfere with the display of the work.

Live camera input. The Software includes computer vision models, including face detection and facial landmark estimation, which run locally and in volatile memory. Camera frames are written to disk or sent elsewhere only when you, or an agent or tool acting at your direction, capture, record, output or send them, or when another program or device uses one of the Software's control inputs, such as its automation interface or the OSC input (see Section 6A.4), to do so. The Software does not perform biometric identification against any reference database. If you connect a live camera capturing members of the public, audiences or staff, you are responsible for establishing a lawful basis for that processing, for giving any notices required to the people captured, and for not using the Software for unlawful emotion inference in workplaces or educational settings.

Provenance metadata. OOD Labs intends to embed machine-readable provenance metadata into persistent media exports, and will do so from the release in which that feature ships. Where such metadata is present, you must not remove or alter it in order to mislead anyone about the artificial origin of the media. Real-time outputs such as Spout, NDI and direct display do not carry provenance metadata from the Software, and disclosure in live contexts remains your responsibility as deployer.

If you are not a consumer (see Section 10A), you agree to indemnify OOD Labs against any regulatory action, fine, claim or damages arising from your failure to meet your obligations as a deployer under the EU AI Act, the GDPR, or equivalent laws in your jurisdiction.

6A. Lasers, Stage Lighting and Other Physical Equipment

Summary. The Software can control laser projectors and effects, including Class 3B and Class 4 lasers (in the United States, Class IIIb and IV), and stage lighting and effects over DMX512, Art-Net, sACN, MIDI, OSC and similar connections. Lasers can permanently injure eyes in a fraction of a second, including through reflections, and can burn skin, start fires, damage cameras and dazzle pilots and drivers. Lighting and effects equipment can burn, start fires and injure people with moving or falling parts, and flashing light can trigger seizures in people with photosensitive epilepsy. THE SOFTWARE IS NOT A SAFETY SYSTEM. Safety must come from equipment and procedures that keep working if the Software, your computer or your network fails. This Section sets out what you must do. It does not exclude any liability that Section 9.1 says we never exclude.

6A.1 Not a Safety System

The Software does not itself emit light, and OOD Labs does not manufacture, sell, install or certify laser, lighting or effects equipment. The Software's laser master (the ARM LASERS button) and each laser output's ARM control, its scanner-protection limits (the Scanner Profile settings), dead-man blanking, its emergency stop (the Emergency Stop All Lasers shortcut, Shift+Esc by default, and each laser output's Estop button), Simulate mode and similar features are operator controls. They are not safety functions: they have not been designed, validated or certified to any safety standard, and labels in the Software that describe some of them as safety controls or safety limits do not change this. The scanner-protection limits are meant to protect scanners, not people, and are not scan-fail protection. The Software does not measure laser power or exposure and does not keep either below any limit. The intensity and color-level settings only scale the signal sent to the laser interface and are not a power limit, and settings that shrink the scanned area, such as the amplitude limit, concentrate the beam into a smaller area. Anything that can change the Software's settings can change the scanner-protection limits, and the ILDA test pattern used to tune scanners runs without them, apart from the amplitude limit.

These controls can fail, for example if the Software, your computer, a graphics driver or the network crashes, hangs or sends unexpected data. A stop command from the Software reaches your equipment only while the Software, your computer and the network are working, and the keyboard shortcut works only while a Sentinel window has keyboard focus and the Software is responding. An emergency stop does not disarm the laser master, so an output that is armed again, by you or by automation, can emit again.

When you disarm, stop or delete a laser output, or quit the Software normally, the Software tries to blank the output and stop the laser interface, but it does not confirm that this reached the device or took effect, and points the interface has already received may still be played. If the Software crashes, hangs, is forced to close or loses its connection to the equipment, it may send no stop command at all, and depending on the device, a laser interface may then keep scanning or repeat its last frame. The Software sends no blackout to lighting equipment when it stops, exits or fails (for sACN it only signals, by default, that its stream has ended). While the Software is hung it may keep sending the last lighting values, and after it exits, lighting fixtures, DMX-controlled lasers and network nodes follow their own loss-of-signal behavior, which often holds the last state and on some devices goes to full output. Do not rely on the Software to bring any equipment to a safe condition. The DMX512 standard (ANSI E1.11) states that DMX512 is not an appropriate control protocol for hazardous applications, and neither DMX512 nor the network protocols that carry its data, such as Art-Net and sACN, assure that every packet arrives, so any means of stopping hazardous equipment must work without them.

6A.2 Before and While You Drive Lasers

In this Section 6A, a "laser" is any laser projector or laser effect that projects laser beams, whether the Software drives it through a laser interface such as Ether Dream, LaserCube or ShowNET, through other laser software such as Pangolin BEYOND, or through DMX, Art-Net, sACN, MIDI or OSC. It does not include a video projector or display that uses a laser light source to show a picture. Before you use the Software to drive a laser, and for as long as the Software can make it emit, you must:

  1. Use only laser equipment that is lawfully supplied for your intended use, mount it securely, and follow its manufacturer's instructions. It must have controls that work independently of the Software, your computer and your network: a hardware emergency stop within immediate reach of the operator that cuts laser emission, for example through the projector's interlock connector or its power; physical apertures, masks or beam blocks that keep beams within their intended area even if scanning or the Software fails; and scan-fail protection wherever scanning is relied on to keep exposure within limits. Never disable, bypass or exceed a safety feature, interlock or power limit of your equipment.
  2. Keep beams, including reflections from mirrors, glass, metal and other shiny surfaces, out of any area where people or animals can be, including audiences, performers and crew, and far enough above and beside it that no one can reach them (standard US FDA variance conditions, for example, use 3 meters above any surface the audience can stand on and 2.5 meters to the side or below). The only exception is exposure that a competent person has measured or calculated to be below the applicable maximum permissible exposure (MPE), including if scanning fails, and that is permitted where you operate. End every beam on a non-reflective surface or beam stop unless it has been cleared to enter the sky, keep beams away from aircraft and vehicles, and keep them out of areas you do not control unless you have the permission and approvals that requires.
  3. Obtain every permit, variance, license, registration, notification and approval required where you operate, including any aviation notice or clearance before a beam can enter the sky, and meet any conditions set by authorities, venues or insurers, such as observers who watch for aircraft and can have emission stopped at once.
  4. Make sure a competent person trained in laser safety, such as a laser safety officer, who can see all beam paths, where they end, and any audience, supervises the laser at all times while it can emit and can stop emission immediately without relying on the Software, and that crew and performers know where beams will go. Never leave a laser that can emit unattended: when no such person is watching, cut emission at the equipment, for example with its key switch or emergency stop, not only in the Software.
  5. Set up, align and test at the lowest practical power with only necessary people present, and, for a laser driven through a laser interface, configure the scanner-protection limits for your own scanners. Check new or changed content, settings and projects, including anything built or changed by an AI agent or other automation, before you first send them to a laser: in Simulate mode for a laser driven through a laser interface, or, for a laser controlled over DMX, Art-Net, sACN, MIDI or OSC, with that output sent only to your own computer or to a visualizer (see Section 6A.3). Then run them on the real equipment with no audience present. Simulate and visualizers show only what the Software sends, not what your equipment emits, and output that changes live cannot be fully checked in advance, so the measures in items 1 and 2 must contain whatever it does.

Requirements differ between countries, states and localities, change over time, and depend on facts such as the laser's class and power, where beams go, and whether the use is commercial or public. For example, in the United States the Food and Drug Administration limits laser light shows and other laser products for entertainment, display or artistic use to Class IIIa (roughly Class 3R) emission levels unless an FDA-approved variance applies, treats people who produce laser light shows as manufacturers who may need their own variance, and under its standard variance conditions does not permit beams to be scanned into an audience; outdoor beams may require advance notice to the Federal Aviation Administration; and some states and cities require registration, licensing or permits. Other countries have their own rules. These examples are not complete and may not apply to you. OOD Labs does not give legal, regulatory or safety advice. Words such as "safety", "protection" or "emergency" in the Software's controls or documentation describe what a feature is for; they do not mean that the feature, or following this Section, makes any use safe or lawful.

6A.3 Lighting and Effects

When you use the Software to drive lighting or effects, you must make sure the equipment is installed, rigged and secured by competent people; is used lawfully, as the venue requires and as its manufacturer instructs, including any minimum distance from people or flammable materials; and is placed so that full output or any movement the Software commands cannot injure anyone or damage property. Where equipment or network nodes let you choose what happens when they lose their control signal, choose what suits each device and the venue (for example, stopping strobes, lasers and haze while keeping working light on), and keep a way to stop hazardous equipment that does not depend on the Software, such as switching off its power.

The Software has no Simulate mode for lighting. Test new lighting content with DMX output sent only to your own computer or to a visualizer before you send it to fixtures. A new DMX Out node sends Art-Net only to your own computer until you change its destination, but sACN output reaches every sACN receiver on your network by default.

Photosensitive seizures. Flashing, strobing or rapidly changing light, colors or patterns, including video, lighting and laser output created or controlled with the Software, can trigger seizures in some people, including people with no history of epilepsy. No flash rate or setting is safe for everyone. When you present output to others, you are responsible for reducing this risk, for example by avoiding rapid flashing (particularly more than three flashes per second, counting all the lights in view together) and large-area or saturated-red flashes, and by warning people in advance where strobe or flashing effects will be used. If anyone shows symptoms, stop the flashing output immediately and get them medical help.

You must not use the Software to control pyrotechnics, flame or spark effects, chain hoists, winches, automated rigging, stage machinery or other equipment that lifts, lowers or moves loads, scenery or people (the built-in movement of lighting fixtures, such as moving heads, is not included), or any equipment that performs a safety function. You must not rely on the Software as the only means of stopping laser emission or any other hazard.

6A.4 Unpredictable Output, Automation and Remote Control

Content driven by AI models, live camera input, audio analysis, scripts and expressions can change suddenly and unpredictably. It can, for example, move a beam outside its intended area, concentrate or slow it, or produce bright flashes or rapid flicker. Projects, presets, scripts, expressions, incoming MIDI, OSC, DMX, Art-Net or sACN data, and AI agents you connect to the Software can create, change and operate outputs to physical equipment. A project can be saved with its laser outputs armed, and opening it while the laser master is armed lets those outputs emit with no further action. Any program running on your computer can control the Software through its automation interface without identifying itself, and such a program, an AI agent, or anything else able to operate your computer's mouse or keyboard can operate the Software's on-screen controls, including ARM LASERS and the other arm controls. Some inputs listen on your local network by default, so other devices on that network may be able to use them: the OSC input accepts commands without authentication on UDP port 9000 unless you change or disable it, including commands that arm individual laser outputs and change scanner-protection limits, and DMX In nodes receive Art-Net or sACN from your network and answer Art-Net discovery requests. A project can also contain a command that the Software runs in its built-in terminal when a terminal session starts, for example to launch an AI agent, so open projects only from sources you trust. You are responsible for the content, projects and automation you run, for supervising what they do while output to equipment is enabled, and for securing the network that your computer and equipment use, including turning off network inputs you do not need.

6A.5 Notices in the Software

The Software may show safety notices, or ask you to confirm safety steps, before you enable output to equipment. Follow them. They summarize and apply the requirements of this Section 6A; they do not add to your obligations or liability under this Agreement, and they do not limit ours. Descriptions of individual settings, such as tooltips, are not safety notices, and nothing in them, including any reference to safety, changes Section 6A.1.

6A.6 Safety Notices from Us

If we identify a defect in the Software that creates a risk of injury through laser or lighting output, we will publish a notice about it on our website, including how to avoid the risk.

6A.7 Responsibility and Liability

Sections 9.1 and 10A apply to this Section. Subject to them, Sections 8 and 9 apply to losses connected with your use of physical equipment, such as damage to equipment, canceled or interrupted performances, and fines. If you are not a consumer (see Section 10A), Section 10(e) applies to claims arising out of your operation of equipment in breach of this Section or of applicable law, to the extent set out there. A breach of this Section 6A does not end your license automatically under Section 11; if you seriously or repeatedly breach it, we may end your license by notice to the email address associated with it.

7. Updates and Support

During your Update Period (Section 1), OOD Labs will make available to you the updates, patches, and new versions of the Software that it releases. The frequency, content, and scope of updates remain at OOD Labs' sole discretion — the Update Period entitles you to the updates we release during it, not to any particular update, feature, or release schedule. Updates may be delivered automatically or made available for manual download. After your Update Period ends, you may continue using eligible versions as described in Section 1, but you are not entitled to versions released after that date without a renewal or new purchase.

For technical support inquiries, contact us at [email protected].

8. Disclaimer of Warranties

This Section 8 is subject to Sections 9.1 and 10A, and applies only to the extent permitted by the law that applies to you.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. OOD LABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT THE SOFTWARE PERFORMS GPU-ACCELERATED REAL-TIME VIDEO PROCESSING AND THAT RESULTS MAY VARY DEPENDING ON YOUR HARDWARE CONFIGURATION, DRIVERS, AND SYSTEM ENVIRONMENT. OOD LABS MAKES NO GUARANTEES REGARDING PERFORMANCE, PROCESSING SPEED, OR OUTPUT QUALITY ON ANY PARTICULAR SYSTEM.

THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE FOLLOWING ITS PURCHASE, YOU AND NOT OOD LABS ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

9. Limitation of Liability

9.1 WHAT WE NEVER EXCLUDE OR LIMIT

Nothing in this Agreement excludes or limits any liability of OOD Labs, or of our officers, directors, employees, agents, licensors or suppliers, for: (a) death or personal injury caused by negligence or by any other act or omission; (b) fraud or fraudulent misrepresentation; (c) gross negligence, willful misconduct, or willful injury to the person or property of another; (d) violation of law, including any statutory duty concerning safety; (e) liability under any product liability law that applies to the Software; or (f) any other liability that cannot be excluded or limited under the law that applies to you. This Section 9.1 applies to the whole Agreement and prevails over any other provision of it. Section 10A also applies if you are a consumer, and Section 10A.4 also applies if you acquired the Software as a consumer under the Australian Consumer Law.

9.2 Excluded Damages

SUBJECT TO SECTION 9.1 (WHAT WE NEVER EXCLUDE OR LIMIT), TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OOD LABS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  1. Your use of, or inability to use, the Software;
  2. Any unauthorized access to or alteration of your data or transmissions;
  3. Any third-party content or conduct in connection with the Software;
  4. Any other matter relating to the Software.

9.3 Cap

SUBJECT TO SECTION 9.1 (WHAT WE NEVER EXCLUDE OR LIMIT), OOD LABS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR YOUR SENTINEL LICENSE AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

This Section 10 does not apply to you if you are a consumer (see Section 10A). Otherwise, you agree to indemnify and hold harmless Out of Distribution Labs LLC from and against any claim by a third party, and the resulting damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and the reasonable costs of defending the claim), to the extent arising out of: (a) your violation of this Agreement; (b) content you process, create, or distribute using the Software; (c) your violation of any third-party rights, including intellectual property rights; (d) your use of third-party AI models or components that you obtain yourself and use with the Software; or (e) your operation of lasers, lighting or other equipment with the Software in breach of Section 6A or of applicable law. This Section 10 does not apply to the extent a claim results from OOD Labs' negligence, fraud, willful misconduct or violation of law, or from a defect in the Software, including any third-party component or model distributed with it. This indemnification obligation shall survive termination of this Agreement.

10A. Consumers

You are a "consumer" for the purposes of this Agreement if you are an individual and you obtained the Software wholly or mainly for purposes outside your trade, business, craft or profession.

10A.1 Your Statutory Rights

Nothing in this Agreement excludes, restricts, or modifies any guarantee, warranty, right, or remedy you have under the law of the place where you live that cannot lawfully be excluded, restricted, or modified, including any right to bring proceedings in the courts there. Where any provision of this Agreement conflicts with such a right, that right prevails.

10A.2 Consumers in the United Kingdom

Your rights under the Consumer Rights Act 2015, including that digital content must be of satisfactory quality, fit for purpose, and as described, your rights to repair, replacement, price reduction, refund and damages, and your rights under section 46 of that Act if the Software damages your device or other digital content, are not affected by anything in this Agreement, including Sections 5, 5A, 6.3, 6A.7, 8, 9, 14 and 19. This Agreement's choice of California law does not deprive you of the protection of the law of the part of the United Kingdom where you live. Notwithstanding Sections 12 and 13, you may bring proceedings in the courts of the part of the United Kingdom where you live, and we will bring proceedings against you only there.

10A.3 Consumers in the European Economic Area and Switzerland

Your rights under the national law implementing Directive (EU) 2019/770, including the conformity requirements and the remedies for lack of conformity, and your rights under any provision of Swiss law that cannot be excluded by agreement, are not affected by anything in this Agreement, including Sections 5, 5A, 6.3, 6A.7, 8, 9, 14 and 19. This Agreement's choice of California law does not deprive you of the protection of any provision of the law of your country of habitual residence that cannot be derogated from by agreement. Notwithstanding Sections 12 and 13, you may bring proceedings in the courts of that country, and we will bring proceedings against you only there.

10A.4 Australia

This Section 10A.4 applies to you if you acquired the Software as a consumer under the Australian Consumer Law, which can include a business. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. Nothing in this Agreement, including Sections 5, 5A, 6.3, 6A.7, 8, 9, 14 and 19, excludes, restricts, or modifies those guarantees, the remedies available for a failure to comply with them, or any other right you have under the Australian Consumer Law, which applies despite this Agreement's choice of California law. Notwithstanding Sections 12 and 13, you may bring proceedings in the courts of Australia, and if you are also a consumer under Section 10A, we will bring proceedings against you only there.

10A.5 Indemnities

If you are a consumer, Section 10 and the indemnities in Sections 6.8 and 18 do not apply to you. This does not limit any liability you have under the law for your own breach of this Agreement.

11. Termination

This Agreement is effective until terminated. Except as Section 6A.7 provides for breaches of Section 6A, your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, in your possession or control.

Subject to Section 6A.7, OOD Labs reserves the right to deactivate license keys associated with fraudulent purchases, chargebacks, or violations of this Agreement.

Sections 3 (Restrictions), 4 (Intellectual Property), 5 (Third-Party Components), 5A (Third-Party Hardware, Protocols and Trademarks), 6.3 (Ownership of Outputs), 6.8 (Regulatory Roles and the EU AI Act), 6A (Lasers, Stage Lighting and Other Physical Equipment), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 10A (Consumers), 12 (Dispute Resolution), 13 (Governing Law), 17 (Severability), 18 (Export Controls and Sanctions Compliance), 20 (Waiver), and 21 (Entire Agreement and Third Parties) shall survive any termination of this Agreement.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Alameda County, California. The arbitrator's decision shall be final and binding.

You and OOD Labs agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

If for any reason a claim proceeds in court rather than in arbitration, you and OOD Labs each waive any right to a jury trial.

This section shall survive termination of this Agreement.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court in Alameda County, California, if the claim falls within the court's jurisdictional limits.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws principles. For any dispute not subject to arbitration under Section 12, and for any proceeding to enforce an arbitration award, any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Alameda County, California, and you consent to the personal jurisdiction of such courts and waive any objection as to inconvenient forum.

14. Purchases and Refunds

The Software is sold through LemonSqueezy, which acts as the Merchant of Record for all transactions. Payment processing, sales tax collection, and invoicing are handled by LemonSqueezy on behalf of OOD Labs.

We offer a 30-day money-back guarantee from the date of purchase. If you are unsatisfied for any reason, contact [email protected] within 30 days of purchase for a full refund. Refunds are processed through LemonSqueezy, our Merchant of Record. Upon receiving a refund, your license key will be deactivated and you must delete all copies of the Software. After the 30-day period we are no longer able to offer a discretionary refund, but this does not affect your statutory rights. This guarantee is in addition to any rights you have under the consumer protection laws of your country, which we do not limit or exclude.

In accordance with California Business and Professions Code Section 17500.6 (AB 2426), you acknowledge that your purchase constitutes a license to access and use the Software, not a transfer of ownership. This license is subject to the terms and conditions of this Agreement, including the revocation and termination provisions described herein.

15. Privacy

Your use of the Software is subject to our Privacy Policy (ood-labs.com/legal/privacy/), which describes how we collect, use, and protect your information. By using the Software, you acknowledge the practices described in the Privacy Policy.

When you activate a license or deactivate a machine, the Software sends your license key and an identifier derived from your computer's hardware to our licensing provider (Keygen.sh), to verify your license and prevent unauthorized use. Under applicable privacy laws including the GDPR and CCPA, a unique machine identifier may constitute personal data. Because a license is issued against the email address used at purchase, this identifier can be associated with your purchase record. The Software runs no background telemetry and collects no usage analytics.

Apart from licensing, the Software connects to the internet automatically only to check our download server for available engine and model packs each time it starts. It downloads packs from that server when you, or an agent acting at your direction, ask it to. The Software adds no identifier for you, your machine or your license to those requests, although, like any internet request, they reveal your IP address to the server. The Software also exchanges discovery and control traffic with devices on your local network, for example to find NDI sources and laser interfaces, and listens for OSC and DMX input as described in Section 6A.4.

Bug reports are sent to us only when one is submitted through the Software. Today that happens only through its automation interface, usually by an AI agent you have connected and asked to do it. The Software does not itself ask you to confirm before a report is sent; the agent instructions supplied with the Software tell agents to ask you first. Every report contains a title and description written by whoever submits it, your Sentinel version, a hashed identifier for your machine, and system information, such as your operating system, graphics card, driver and memory, the names and status of the nodes, inputs and outputs in use, and recent error messages. If you have a license, the report is authenticated with your license key and can also include recent log entries, which can contain prompts, file names and settings; the most recent crash dump with its crash report and log; an image file such as a screenshot; and a project file. Before a report is sent, the Software removes email addresses, license keys and your Windows user name in file paths from the description, system information and log text it includes, but not from the title, crash dumps, images or project files. A crash dump records part of the Software's memory at the time of a crash, such as the state of its threads and the names of files it had open, and can contain file paths and fragments of other data the Software was handling.

If you, or an agent acting at your direction, use a feature that sends images or other data to a third-party service, such as the cloud vision model used by the Software's vision tool (OpenRouter by default, with your own API key), that data goes to that service under its own terms. See our Privacy Policy (ood-labs.com/legal/privacy/) for the detail.

16. Changes to This Agreement

We may update this Agreement from time to time. Modifications to this Agreement will apply only to new purchasers, future major version upgrades, or optional software updates where you affirmatively accept the new terms upon installation. The version of this Agreement in effect at the time of your purchase governs your use of the purchased version of the Software. We will post updated terms at ood-labs.com/legal/eula. You are not required to accept new terms to continue using the version of the Software you originally purchased. Each version of this Agreement is identified by its effective date. Every version in effect on or after August 18, 2026 is archived on our website, and we will send you any earlier version on request.

17. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent, except where the law that applies to you does not allow a court to modify it. Each provision of this Agreement, and each part of a provision, is separate and severable from the others.

18. Export Controls and Sanctions Compliance

The Software, including its compiled binaries, bundled machine learning models and execution engines, documentation, and associated online services such as license verification, is subject to the export control and economic sanctions laws of the United States, including the Export Administration Regulations (15 C.F.R. Parts 730–774) administered by the Department of Commerce Bureau of Industry and Security, and the sanctions programs administered by the Department of the Treasury Office of Foreign Assets Control.

By downloading, installing, activating, or using the Software, you represent and agree that:

  1. You are not located in, organized under the laws of, or ordinarily resident in any country or region subject to a comprehensive United States embargo, currently including Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson regions of Ukraine;
  2. You are not identified on, and are not owned or controlled by any party identified on, any United States restricted-party list, including the OFAC Specially Designated Nationals List and the BIS Entity, Denied Persons and Unverified Lists;
  3. You will not export, re-export, transfer, or release the Software, directly or indirectly, to any destination, entity, or person prohibited by United States export control or sanctions law;
  4. You will not use the Software for any end use prohibited by the Export Administration Regulations, including activities relating to nuclear, chemical, or biological weapons, rocket systems, or unmanned aerial vehicles; and
  5. You will not conceal or misrepresent your location or identity, including through VPNs or proxy services, for the purpose of evading the geographic access restrictions we or our payment processors maintain.

We may review license activation records and edge access logs to verify compliance with this Section, and may suspend or revoke any license key, trial access, or verification service associated with a suspected violation. A violation of this Section is a material, non-curable breach of this Agreement. If you are not a consumer (see Section 10A), you agree to indemnify OOD Labs against any claims, penalties, fines, and expenses arising from your breach of this Section.

19. Force Majeure

OOD Labs shall not be liable for any failure or delay in performing its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, third-party service failures (including license verification services), or other force majeure events.

20. Waiver

The failure of OOD Labs to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by OOD Labs.

21. Entire Agreement and Third Parties

This Agreement constitutes the entire agreement between you and OOD Labs with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, or communications, whether written or oral, regarding the subject matter hereof.

No one other than you and OOD Labs has any right to enforce this Agreement, except that OOD Labs' licensors and suppliers may rely on Sections 5 and 9, and OOD Labs' officers, directors, employees and agents may rely on Section 9. You and OOD Labs may change or end this Agreement without anyone else's consent.
